Mergers seminar slated for March 8-9

By Industrial Distribution Staff -- Industrial Distribution, 2/1/2000

Newton, Ma.--What actually occurs after you sell your company? Most acquirers assure it will be business as usual. However, in most cases it is not. That will be the focus of Michael Marks' seminar titled "Post Acquisition Value Creation," to be delivered during Advice from the Inside on Mergers & Acquisitions, to be held March 8-9 at the Ritz Carlton in Atlanta.

Sponsored by ID and Pembroke Consulting, the event will include informative breakout sessions and talks by leading distribution executives and investment managers. Bill Wade, chairman of Quality Distribution Service Partners, an active acquirer in the heavy duty automotive aftermarket, will deliver the keynote address. Wade is the former CEO of FAG Bearings Corp., president of CR Services and a former vice president for Parker Hannifin Corp.'s automotive aftermarket group.

A lineup of speakers includes Jeffrey Germanotta, senior vice president at Robert W. Baird & Co.; Robert McBeth, president and CEO, Associated Industrial Supply, Inc; Steve Pinsky, former vice president of corporate development, MSC Industrial Direct; and Mark Baldwin, president and CEO, Pentacon, Inc.

Sessions will cover topics such as critical tax issues; preparing for merger and acquisition intermediaries; distribution roll-up as a strategic option; and alternatives for the business owner such as ESOPs and alliances. Richard Witmer, a partner at Brown Brothers Harriman & Co., will discuss options using three distributor case studies.
